Back in 2011, I jointly formed a LLP. I and three others resigned from this in 2013. This is shown as such on Companies House records. It didn't make any money during this period and I earned no money from it. It was set up to test something alongside a business that I had a 25% shareholding in from which I was paid PAYE plus occasional dividends.

The LLP was wound up by the remaining Partners last year having remained dormant for several years.

HMRC have these past weeks contacted me and the other Partners who resigned in 2013 with a penalty notice for the late filing of self assessment returns relating to the LLP.

My assumption is that HMRC has made an error and I have written to them. But there's a nagging thought that I may have missed something. It's odd that the three others have also received the same.

Any ideas?

Even dormant I believe you needed to file a SA Partnership return along with your individual SA. Daft I know.

But he had resigned ? so had no affiliation ?
