Shares options: capital gains of income tax/NI?

The company I work for will soon do another management buy out deal, where they raise monies from new VC partner, pay out old VC partner and directors/shareholders take some cash out of the business. They do this every 3-4 years to realise money from the business.
I have share options which will be exercisable at the buyout, whihc will be worth circa £160k.
I would much rather pay capital gains on this instead of income tax/NI - what criteria determines what I pay.
I expect as I am being offered the options as part of my package (i.e I have not bought them) it will be taxed as a BIK. THough techinically, on the day of the transaction, I buy the shares at £1 and immediatley sell them at £8.
So, accountants - will I be able to offset some capital losses and use my annual CGT exemption or is Gordon going to rape me?
