36/40 ich tv help required

okay so after looking at many posts and reading the ever helpful plotloss help us all with buying our kit, i decided to pop down and buy a panasonic v20 or g20. however the smallest size they do in these is a 42 inch tv which is too large for me as the natural place for the tv is in front of a window and dont want to fully block it out.
currently have a 36 inch crt sony with attached speakers so figure could go up to 40 inch and use a soundbar or my B and W 602 speakers.
so, what tv would be best at this size
im led to believe i dont need 1080p at smaller than 42" sizes but would i be missing out?
and would it be best to purchase and use a soundbar if i went for a 40" or would the 602's with a normal hifi amp do fine?

cannot buy a new stand as currently have a very nice soundstyle av stand which the wife only allowed as promised to never need another one!
looking at either Panasonic TX-P37X20B, or Panasonic Viera TX-L37U2B but not sure is 1080p will be worthwhile, or Panasonic Viera TX-P37C2B as not sure if 100hz is required or not.

See this is the problem I have. Don't have sky be and would be reluctant in paying £10 /month extra for it, don't have a blue ray player or any blue ray discs, and my xbox is on of the original non be output ones.
My current tv OS a Sony 36 crt which OS very good quality apart.from on light backgrounds such as footie pitch you can see light lines scrolling across. So not a necessity to swoon at moment, just settled on the g20 to then find out it would be too big!
