Hmmm... tough one...
Well, to match the cost of an E46 M3 I imagine that you'll be looking at the later, S54 powered Z3MC's, which makes it even closer still.
They're pretty close in most areas, and the only differentiating factors for me are:-
The E46 can have SMGII, which I expect would really add to the "special" feeling of the driving experience.
The Z3MC will retain it's value a lot better, and E46 M3's are everywhere whereas you hardly ever see Z3MC's.
I think if I were limited to manual transmission I'd go with the Z3MC, otherwise probably an E46 in a loud colour, either Imola Red or Laguna Seca Blue.

Ah, I was thrown off by the "apart from doors" bit; I thought you meant "disregarding practicality".
But, to address the useability thing, I'd say that if it's going to be a daily driver and primary vehicle I'd go for the E46. Two seats only really works without large lifestyle compromises if it's just a toy or if you've got a V70 stashed in the garage for utility work.
