Quick question.

What are the responsibilities of a company secretary other than ensuring the accounts are filled?

The directors obviously carry the can if anything goes wrong, eg trading insolvent, but what responsibility does the secretary have?

The principal responsibility of the Company Secretary is maintaining the statutory records of the company i.e. the records as set out under The Companies Act such as the minute book and minutes, share registers, deeds, ,share certificates, details of debentures and mortgages taken out by the company over its assets and other such items.

Where there is a legal requirement to notify Companies House about such matters, it is also the Company Secretary's duty to ensure that these details are filed with Companies House within the statutory time limits if such time limits are set.

In the event of a failure to identify the driver of a company car flashed by a Gatso the Co. Sec. gets the points.

On the plus side the Co. Sec. has the right to procure a vehicle at any time I believe.

I have great pleasure in telling everyone that I regularly shag the Company Secretary of the company I work for.

The fact that I am the Director and my wife is the Company Secretary does detract from the gag a little though.
